("Churchill" or the "Company") announces it has entered into an agreement to acquire a natural gas property in the Smoky area of Alberta for a total of $9.55 million, prior to purchase price adjustments. This strategic acquisition increases Churchill’s ownership in the Smoky property to approximately 70%. The acquisition will add current production of approximately 110 barrels of oil equivalent per day "boe/d". The assets bring 907 mboe’s of proved plus probable and 535 mboe’s of proved reserves (effective December 31, 2005 and based on an independent reserve report done by GLJ Petroleum Consultants using NI 51-101 reserve definitions) and a reserve life index of 22.6 years proved plus probable and 13.3 years proved. This acquisition also adds 5,126 net undeveloped acres valued by the Company at $1.6 million in the transaction. Upon closing the acquisition Churchill will increase its ownership from 22.5% to 81% in a gas processing facility capable of handling 9 mmcf/d. Current production was acquired at $72,300 per producing boe/d while reserves were added at $8.76 per proven plus probable boe and $14.85 per proven boe. The acquisition is expected to close on or prior to May 1, 2006.
